Opening a CA LLC with Super Powered LLC

 The Basics:

1.   Pick a name for your LLC*

2.   Provide your first and last name*

3.   Provide your business address*

4.   Provide a mailing address (if different)*

5.   Provide a Person and Address where you can be served court papers if the need arises. This cannot be a mailbox place but it can be your home.*

6.   Provide an email address.

7.   Provide a password for your Secretary of State account.

8.   Are there other members? Provide their names and addresses and their percentage of ownership*

9.   Typically, I put you have contributed $1,000 for 100% ownership of the business, no one checks. Tell me if you want me to indicate a different initial contribution.

10. What type of business are you operating?

11.  Provide your social security number

12.  You’ll Zelle me at [email protected] Super Powered LLC the total of $487, which includes $70 in filing fees.

13.  You’ll get an email from the Secretary of State when I set up your account and you’ll forward that to me.

14.  Your LLC gets approved by the State, they will email you, you will text me.

15.  I obtain your EIN – employer identification number from the IRS.

16.   I file your Statement of Information

17.  I register your business with the LA Dept of Tax and Finance (if you are in one of the cities of LA). This will be mailed to you.

18.  I prepare your LLC packet, detailed below.

City of LA Business Tax Registration

Additional Details:

LLC - Articles of Organization - filed in your own account with the Secretary of State. *

LLC - Operating Agreement - filled in with your custom information, required kept in-house and to obtain a bank account.

EIN - Employer identification number, obtained from the IRS.

Statement of Information - required to be submitted within 90 days. Will be filed in your own account with Secretary of State once*

LA City Business Tax Registration - filed in your own account with LA City.

Optional S-Corp election - to change your tax status from C-Corp to S-Corp. Must be filed with 75 days of LLC. $100 fee

Optional - Agent for Service of Process. Protect your home address. $120/yr fee

Optional – Sales and Use tax registration. Needed if you plan to sell products and want a resale license to buy items wholesale. $100 fee

The Future:

·     Each year you will need to file an updated Statement of Information. You can do this in your SOS account, or contact me and I will file it for $120 which includes the filing fee.

·     Each year you will need to file a tax return with the city of Los Angeles business.lacity.gov your user name and password will be the same as your SOS account. I can help you with this return for $150 if you provide the calculations of revenue. I can assist with how to generate the calculations. If you earned less than $100,000, no tax will be due IF you file the return on time.

·     Each year you will need to pay $800 to the State of California for the privilege of having a business here. Even if your company earns no revenue.

·     If you file for the optional S-Corp election, you will pay less in taxes at the end of the year.

·     If you are selling products and have a resale license you will need to submit sales tax calculations annually.
